1. Scope of Application
1.1 These general terms and conditions (hereinafter referred to as GTC) of LLC "GENERATOR ALLIANCE" (hereinafter referred to as the Seller) apply to all contracts for the supply of goods concluded by a consumer or entrepreneur (hereinafter referred to as the Client) with the Seller regarding goods presented by the Seller in its online store. The inclusion of conditions and terms from the Client is objected to unless otherwise agreed.
1.2 A consumer within the meaning of these GTC is any natural person who enters into a legal transaction for purposes not attributable to their commercial activity or self-employment.
1.3 An entrepreneur within the meaning of these GTC is a natural or legal person who, when concluding a legal transaction, acts in the scope of their commercial or self-employed professional activity.
2. Conclusion of the Contract
2.1 The product descriptions contained in the Seller's online store are not binding offers by the Seller but serve as a binding offer for the Client.
2.2 The Client can submit an order using the online order form integrated into the Seller's online store. The Client places the selected goods in the virtual shopping cart and then proceeds through the electronic ordering process. By clicking the button that completes the order process, the Client submits a legally binding contract offer for the goods in the shopping cart. Additionally, the Client can submit the order to the Seller by phone or email.
2.3 The Seller may accept the Client's offer within five days
- by sending the Client a confirmation in text form (via email), in which case the receipt of the order confirmation by the Client is decisive,
- or by delivering the ordered goods to the Client, in which case the receipt of the goods by the Client is decisive, or
- by requesting payment from the Client after the Client has placed the order.
2.4 If the Client selects one of the payment methods offered by LiqPay, the payment will be processed through the payment service provider PRIVATBANK, Gryshevskogo Street 1d, Kyiv, 01001, Ukraine, according to the terms of use of LiqPay, available at https://www.liqpay.ua/information/terms. If the Client makes payment using a payment method offered by LiqPay during the online ordering process, the Seller declares the acceptance of the Client's offer at the moment the Client clicks the button that completes the ordering process.
2.5 When submitting an offer via the Seller's online order form, the text of the contract is stored by the Seller after the contract is concluded and is sent to the Client in text form (e.g., via email). The Seller does not provide any further access to the contract text. If the Client has created a user account in the Seller's online store before placing the order, the order data will be stored on the Seller's website and can be accessed by the Client free of charge via their password-protected user account, where possible.
2.6 Before submitting the binding order via the Seller's online order form, the Client can identify potential errors by carefully reading the information displayed on the screen. An effective technical means for better recognition of errors can be the browser's zoom function, which enlarges the image on the screen. The Client can correct their data during the electronic ordering process using the usual keyboard and mouse functions until they click the button that completes the ordering process.
2.7 The contract is concluded in Ukrainian.
2.8 The processing of the order and contact usually take place via phone, email, and the Seller’s automated order processing system. The Client must ensure that the email address provided for order processing is correct so that emails sent by the Seller can be received at this address. In particular, the Client must ensure that emails sent by the Seller or third parties authorized by the Seller to process the order can be delivered, especially when using spam filters.
3. Return and Exchange of Goods

4. Prices and Payment Terms
4.1 Unless otherwise stated in the Seller's product descriptions, the prices listed on the website include the statutory value-added tax. Any additional delivery and shipping costs that may arise are indicated separately.
4.2 The available payment methods will be communicated to the Client in the Seller's online store.
4.3 If bank transfer payment is agreed upon, the payment is due within 3 days after the contract is concluded, unless the parties agree on a later payment date.
4.4 If the Client selects the LiqPay payment method, the payment will be processed via LiqPay. For installment payments, the Seller assigns their payment claim to LiqPay or the payment service provider authorized by LiqPay, with a specific mention of the Client. Before accepting the Seller's claim assignment, LiqPay or the payment service provider authorized by LiqPay will conduct a creditworthiness check using the Client's provided data. The Seller reserves the right to decline the payment method selected by the Buyer in case of a negative credit check result. If the selected payment method is approved, the Client is required to pay the invoice amount within the agreed payment term or in agreed installments. In this case, the Client can only make payments to LiqPay or the payment service provider authorized by LiqPay with the effect of debt discharge. However, the Seller remains responsible for general customer inquiries, such as those regarding goods, delivery times, deliveries, returns, complaints, withdrawal declarations, and returns or credits, even in the event of an assignment of the payment claim.
4.5 If the Buyer selects "Apple Pay" as the payment method during the online ordering process, the payment will be processed through Apple Distribution International, Hollyhill Industrial Estate, Hollyhill, Cork, Ireland (hereinafter referred to as "Apple"). When paying with Apple Pay, the payment method selected by the Client during the online ordering process is charged at the time the Client completes the ordering process. In this case, the payment transaction is processed immediately. The debit for the payment method linked to Apple Pay occurs after the Seller sends the order confirmation.
5. Delivery and Shipping Conditions
5.1 The delivery of goods is carried out by shipping to the branch of Nova Poshta or the delivery address specified by the Client, unless otherwise agreed. When processing the transaction, the decisive factor is the delivery address specified in the Seller's order processing.
5.2 If the shipping company returns the goods to the Seller because delivery to the Client was not possible, the Client bears the costs for the unsuccessful shipment.
5.3 Digital content (e.g., instructions, videos, software) will be made available to the Client for download from the Seller's online store.

6. Transfer of Ownership
6.1 The Seller retains ownership of the goods until the purchase price is paid in full by the Buyer.
6.2 The moment of ownership transfer is the moment the Goods are accepted by the Buyer. Ownership and the risk of accidental loss or damage pass to the Buyer from the time of acceptance of the Goods.
6.3 Ownership of digital content passes to the Buyer only after full payment of the price.
7. Liability for Defects (Warranty)
7.1 The rights to product quality claims (warranty) are granted by law.
7.2 The Seller is liable for defective goods under the provisions of the law.

8. Liability
8.1 Liability of the Seller is limited to direct damages arising due to a breach of Seller’s obligations.
8.2 The Seller is not liable for indirect damages and loss of profit unless otherwise provided for in this Agreement.
9. Applicable Law
9.1 All legal relations between the parties are governed by the laws of Ukraine.
10. Jurisdiction
10.1 Any disputes or differences arising between the parties shall be subject to the jurisdiction of the courts of Ukraine.
11. Code of Conduct
11.1 The Seller does not apply a code of conduct.
